Product & Service Terms

These terms explain exactly what you're buying, what it costs, and what you can expect when you purchase products or services from Prime Choice Technologies LLC. We've written them in plain English on purpose.

Overview & acceptance

These Product & Service Terms (the “Terms”) form an agreement between you (“Customer”) and Prime Choice Technologies LLC (“Prime Choice,” “we,” or “us”). They apply whenever you accept a quote, sign a proposal or statement of work, submit a purchase order, or otherwise buy products or services from us.

Where a signed Master Services Agreement (“MSA”) or Statement of Work (“SOW”) exists, that document controls if it conflicts with these Terms. Otherwise, these Terms govern.

02

Definitions

  • Products — physical hardware and materials we sell or resell, such as cabling, racks, cameras, access-control panels, and network equipment.
  • Productized Services — fixed-scope, published-rate offerings such as our Site Survey & Design, per-drop cabling, and monthly Managed Network & NOC plans.
  • Project Services — custom design-build and integration work delivered under a proposal, SOW, or MSA.
  • Deliverables — the drawings, installations, reports, and documentation we provide.
03

Quotes, orders & pricing

  • Any rates shared for planning are estimates only. Firm pricing is set in a written, itemized proposal after a site survey.
  • Quotes are valid for 30 days unless stated otherwise and may be revised for scope changes, site conditions discovered on survey, or manufacturer price changes outside our control.
  • All pricing is itemized. We do not add undisclosed trip charges, fuel surcharges, or administrative fees after acceptance.
  • Prices are exclusive of applicable taxes, permits, and prevailing-wage requirements unless the proposal says so.
04

Payment terms

  • Productized Services and Products are typically invoiced at order; larger projects are billed against agreed milestones.
  • Standard terms are Net 30 from invoice date for approved-credit accounts. New accounts may require a deposit or card on file.
  • Past-due balances accrue interest at 1.5% per month (or the maximum allowed by law). We may pause work on materially past-due accounts after written notice.
05

Product terms

  • Title and risk of loss for Products pass to Customer on delivery to the site or carrier, as noted on the invoice.
  • Inspect Products on receipt. Report shortages or visible damage within 5 business days so we can file carrier claims.
  • Products carry the manufacturer's warranty. We pass through all manufacturer warranties and assist with claims at no markup.
  • Special-order, cut-to-length, and custom-configured Products are non-cancelable and non-returnable once ordered. See the Refund Policy.
06

Service & project terms

  • We perform work to the scope in your accepted proposal or SOW and to applicable BICSI, TIA/EIA, NEC, and manufacturer standards.
  • Change orders: any change to scope, materials, or schedule is documented and priced in writing before we proceed.
  • Scheduling depends on site readiness and safe access. Delays caused by others (e.g., construction, power, or permitting) may affect timelines and cost.
  • On completion we provide as-builts and test/certification data, and we register applicable warranties on your behalf.
07

Managed services & subscriptions

  • Managed Network & NOC plans run on a 30-day rolling term unless a longer term is signed. Either party may cancel with 30 days' written notice.
  • Monthly fees are billed in advance. Included labor/MAC hours do not roll over. Overage and after-hours work are billed at published rates.
  • On cancellation you are billed through the end of the current 30-day cycle; we do not pro-rate a partial month. See the Refund Policy for details.
08

Warranty & SLA

We warrant our workmanship for 12 months from substantial completion, in addition to any longer manufacturer or certified-system warranty (up to 25 years on qualifying cabling systems).

  • If a defect in our workmanship appears during the warranty period, we will re-perform the affected work at no charge.
  • Managed-service SLAs (response and uptime targets) are defined in your plan and carry service credits as the sole remedy for missed targets.
  • Warranties exclude damage from misuse, unauthorized changes, environment (power, water, pests), or work performed by others.
09

Refunds & cancellations

Our Refund Policy is incorporated into these Terms by reference and explains, in detail, our 30-day satisfaction guarantee on Productized Services, deposit handling, hardware returns, and how to request a refund.

10

Customer responsibilities

  • Provide safe, timely site access, accurate facility information, and any required badging or clearances.
  • Secure permits and approvals that are the property owner's responsibility unless we agree otherwise in writing.
  • Maintain appropriate backups and business-continuity measures during any work that touches live systems.
11

Limitation of liability

To the maximum extent permitted by law, our total liability arising out of any order is limited to the amounts paid for the specific Product or Service giving rise to the claim. We are not liable for indirect, incidental, or consequential damages, including lost profits or data. Nothing in these Terms limits liability that cannot be limited by law.

12

Privacy

We collect only the information needed to quote, deliver, support, and invoice your work — such as contact details, site information, and project records. We do not sell personal information.

  • We share information with subcontractors and manufacturers only as needed to deliver your project, under confidentiality obligations.
  • You may request access to, correction of, or deletion of your contact information by emailing info@primechoicetech.net.
13

Governing law & changes

  • These Terms are governed by the laws of the State of Ohio, without regard to conflict-of-laws rules.
  • We may update these Terms; the “Last updated” date reflects the current version. The version in effect when you place an order governs that order.
